Terms of Service

1. Acceptance of Terms

By creating an account or using the Provn platform ("Service"), you agree to these Terms of Service. The Service is operated by Jacaranda Labs Inc ("we", "us", "Provn").

2. Description of Service

Provn provides a location-verified review platform that enables service professionals to collect, manage, and display authenticated client reviews. The Service includes a web dashboard, API, embeddable widget, and related tools.

3. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 18 years old to create an account
  • One person or entity may not maintain more than one free account

4. Acceptable Use

You agree not to:

  • Submit fake, misleading, or fraudulent reviews
  • Impersonate another person or entity
  • Attempt to manipulate GPS verification (location spoofing)
  • Use the API to scrape or harvest data for purposes unrelated to your account
  • Register webhook endpoints that target internal or private network addresses
  • Send unsolicited communications using the platform's email features
  • Exceed your plan's usage limits through automation or abuse

5. Review Content

  • Reviews submitted through Provn represent the genuine opinion of the reviewer
  • Agents may not incentivise, coerce, or fabricate reviews
  • We reserve the right to moderate or remove reviews that violate these terms
  • Agents may respond to reviews publicly but may not edit or delete review content

6. Plans & Billing

  • Free plans are subject to usage limits as described on our pricing page
  • Paid subscriptions are billed monthly or annually via Stripe
  • Prices are in euros (EUR) and exclude applicable taxes
  • You may cancel at any time — access continues until the end of the billing period
  • We reserve the right to change pricing with 30 days' notice
  • Refunds are not provided for partial billing periods

7. API Usage

  • API access is subject to your plan's rate limits
  • API keys are confidential — do not share or expose them in client-side code
  • We may suspend API access for abuse or excessive load
  • The API is provided "as is" — we do not guarantee uptime for the free tier

8. Data Ownership

  • You retain ownership of all content you submit (profile data, branding assets)
  • Reviews are owned by the reviewer — agents have a licence to display them
  • You grant us a licence to process and display your data as part of the Service
  • Upon account deletion, your data will be removed per our Privacy Policy

9. Intellectual Property

The Provn name, logo, design system, and platform code are the intellectual property of Jacaranda Labs Inc. The "Powered by Provn" attribution may only be removed on Business or Enterprise plans with white-label enabled.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim
  • We are not responsible for the accuracy of GPS verification in areas with poor satellite coverage

11. Termination

We may suspend or terminate your account if you violate these terms. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately, but review data may be retained for a reasonable period per our data retention policy.

12. Governing Law

These terms are governed by the laws of the State of Delaware, USA. Any disputes shall be resolved in the courts of the State of Delaware. Where you are an EU/EEA consumer, the mandatory consumer-protection rules of your country of habitual residence remain applicable, and the courts of your country of residence retain non-exclusive jurisdiction over consumer disputes (Brussels I-bis Regulation Art 17–19, Rome I Regulation Art 6).

13. Changes to These Terms

We will notify registered users by email of material changes at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
